Agreement to Terms

These Terms of Service ("Terms") govern your use of the IT City Digital Solutions website (itcity.ae) and all services provided by IT City Digital Solutions LLC ("we," "us," or "our"), based in One Central, Trade Centre 2, Dubai, United Arab Emirates.

By accessing our website, requesting a quote, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Our Services

IT City Digital Solutions provides the following services to businesses across the UAE and GCC:

• E-Commerce management — Amazon UAE, Noon, and regional marketplaces
• Digital marketing — SEO, Google Ads, social media management
• Software development — web applications, mobile apps, enterprise systems
• Multimedia production — video, 3D animation, brand identity
• Advertising — Google Ads, Meta, WhatsApp Business, OOH media buying
• SaaS products — Attendance System, Task Manager (subscription-based)

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate written service agreement or approved proposal signed between both parties.

Client Responsibilities

As a client of IT City, you agree to:

• Provide accurate, complete, and timely information required to deliver the agreed services.
• Grant IT City necessary access to platforms, accounts, and digital assets within agreed timelines.
• Review deliverables and provide written feedback within the review windows specified in your agreement.
• Ensure that all materials and content you provide do not infringe third-party intellectual property rights.
• Make payments in accordance with the agreed schedule; late payment may result in a work pause (see §5).
• Designate a primary point of contact who is authorised to make decisions on behalf of your organisation.

Intellectual Property

IT City Website & Materials

All content on this website — including text, graphics, logos, code, and software — is the property of IT City Digital Solutions and protected under applicable UAE and international intellectual property law.

Client Deliverables

Upon full and final payment of all fees for a project, IT City assigns ownership of the final deliverables to the client. This excludes:

• Underlying frameworks, libraries, and pre-existing IT City tools or templates.
• Third-party licensed assets (stock images, fonts, plugins) — subject to their original licences.
• Content provided by IT City for demonstration or placeholder purposes.

Prior to full payment, the client has a limited, non-exclusive licence to review deliverables for approval only.

Payment Terms

• All fees are quoted and payable in UAE Dirhams (AED) unless otherwise agreed in writing.
• Invoices are due within 14 calendar days from the invoice date.
• Project work may be paused if payment is overdue by more than 14 days, with written notice.
• Retainer services require 30 days' written notice to cancel.
• All fees are quoted exclusive of VAT, applied where applicable under UAE Federal Law No. 8 of 2017.
• Disputed invoices must be raised in writing within 7 days of receipt.

Limitation of Liability

To the maximum extent permitted by UAE law, IT City's aggregate liability for any claim shall not exceed the total fees paid by the client in the three months preceding the claim.

IT City is not liable for indirect, incidental, or consequential damages arising from:

• Platform or third-party service changes (e.g., marketplace or algorithm updates).
• Client delays in providing materials, approvals, or access.
• Force majeure events beyond IT City's reasonable control.
• Use of deliverables inconsistent with our recommendations.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information received during the engagement. Neither party will disclose Confidential Information to any third party without prior written consent, except as required by applicable UAE law.

This obligation survives termination of any service agreement for a period of three (3) years.

Termination

Either party may terminate a service agreement by providing written notice as specified in that agreement. Upon termination:

• IT City will deliver all completed work for which full payment has been received.
• The client is liable for all fees for work completed up to the termination date.
• Retainer fees paid in advance for unused periods will be refunded pro-rata, subject to our Refund & Cancellation Policy.

Governing Law & Disputes

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai. Both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation under the Dubai International Arbitration Centre (DIAC) rules. The exclusive jurisdiction of the courts of Dubai applies to any unresolved matter.

Changes to These Terms

IT City may update these Terms at any time. Material changes will be communicated to active clients via email with at least 14 days' notice. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
